1. ACCEPTANCE OF TERMS

By accessing or using neverhodl.com ("Platform"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Platform.

2. DESCRIPTION OF SERVICE

NeverHodl™ is a crypto market intelligence platform that aggregates publicly available on-chain, macroeconomic and sentiment data into proprietary analytical tools including the NeverHodl Convergence Index (NHCI). The Platform:

• Provides data aggregation and analytical context for educational purposes
• Does NOT execute trades or manage assets on behalf of users
• Does NOT provide personalised investment recommendations
• Does NOT hold, custody or transact with cryptocurrency
• Is NOT regulated as a financial service, investment firm or crypto-asset service provider under MiFID II, MiCA or equivalent legislation

3. INTELLECTUAL PROPERTY

The NeverHodl™ brand, the NeverHodl Convergence Index (NHCI) methodology, the convergence weighting system, and all Platform content are protected intellectual property of NeverHodl™, registered under OEPM España trademark n.º M4370276 (Classes 36+42).

You may not reproduce, reverse-engineer, sell, sublicense or create derivative works from any proprietary methodology or content without written permission.

You MAY share Platform outputs (NHCI readings, phase information) on social media for non-commercial purposes, with attribution to NeverHodl™.

4. THE NHCI — LIMITATIONS AND DISCLAIMERS

The NeverHodl Convergence Index is a backtested data aggregation model. Users must understand:

• Past performance does not guarantee future results. A 91.3% historical accuracy rate does not mean 91.3% of future readings will be correct
• The NHCI provides directional market phase context over a 45–90 day horizon — it is not a short-term trading signal
• The NHCI may produce incorrect readings, especially during unprecedented market events, regulatory changes or systemic crises
• The methodology and indicator weights are updated periodically and outputs may change over time

5. AI MARKET ANALYST

The NeverHodl AI Agent ("Agent") uses artificial intelligence to explain market data in plain language. Users must understand:

• Agent responses are for educational and informational purposes only
• The Agent is explicitly instructed never to provide investment advice
• AI responses may contain errors and should not be relied upon for financial decisions
• Agent usage is limited to 5 questions per 6-hour period to ensure quality and manage costs
• Conversations are not stored by NeverHodl beyond the browser session

6. USER OBLIGATIONS

By using the Platform you agree to:

• Not use the Platform for any unlawful purpose
• Not attempt to circumvent rate limits, access restrictions or security measures
• Not scrape, harvest or systematically download Platform data
• Not represent NHCI readings as financial advice to third parties
• Be at least 18 years of age

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEVERHODL™ AND ITS OPERATORS SHALL NOT BE LIABLE FOR:

• Any financial losses arising from reliance on Platform data or NHCI readings
• Service interruptions, data inaccuracies or technical failures
• Actions taken by third-party data providers (Kraken, Glassnode, Federal Reserve, etc.)
• Indirect, consequential, incidental or special damages of any kind

Our total liability to you for any claim shall not exceed €100.

8. DATA SOURCES AND ACCURACY

NeverHodl™ aggregates data from public third-party sources. We make reasonable efforts to ensure accuracy but cannot guarantee that data is error-free, complete or up-to-date. Market data is provided "as is" and "as available". Always verify critical data points against primary sources before making any decisions.

9. GOVERNING LAW

These Terms are governed by the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, without prejudice to mandatory consumer protection rights under applicable local law.

10. REGULACIÓN Y COMPLIANCE

10.1 Posición regulatoria. NeverHodl™ no está registrado ni autorizado como prestador de servicios de inversión, empresa de servicios de inversión (ESI), ni como Proveedor de Servicios sobre Criptoactivos (CASP) ante la Comisión Nacional del Mercado de Valores (CNMV) de España ni ante ninguna otra autoridad supervisora de la Unión Europea. En consecuencia, los servicios prestados por NeverHodl™ no están sujetos a la supervisión prudencial de la CNMV ni al régimen de protección al inversor establecido en el Real Decreto Legislativo 4/2015, en MiFID II o en el Reglamento (UE) 2023/1114 (MiCA).

10.2 Naturaleza del NHCI. El NeverHodl Convergence Index (NHCI) es un indicador cuantitativo compuesto que agrega datos públicos de mercado. No constituye, en ningún caso, una recomendación de inversión personalizada en el sentido del artículo 3(1)(16) del Reglamento MiCA ni del artículo 4(1)(4) de MiFID II. El score NHCI no tiene en cuenta la situación financiera personal, los objetivos de inversión, la tolerancia al riesgo ni el horizonte temporal de ningún usuario concreto.

10.3 Ausencia de asesoramiento. Ningún contenido de esta Plataforma — incluyendo el NHCI, las señales semanales, los comentarios del Agente IA, los indicadores en tiempo real ni cualquier otra funcionalidad — constituye asesoramiento financiero, asesoramiento sobre criptoactivos, recomendación de inversión general, gestión de carteras ni ningún otro servicio de inversión regulado.

10.4 Riesgo de los criptoactivos. Los criptoactivos son instrumentos altamente volátiles y especulativos, no cubiertos por ningún fondo de garantía de depósitos ni mecanismo de protección al inversor de la UE. El valor de los criptoactivos puede reducirse hasta cero. La inversión en criptoactivos implica riesgo de pérdida total o parcial del capital invertido. Los resultados pasados no son indicativos de resultados futuros.

10.5 Comunicaciones comerciales. Toda comunicación comercial de NeverHodl™ se realiza conforme al artículo 94 del Reglamento MiCA, siendo objetiva, clara y no engañosa. NeverHodl™ no realiza publicidad de criptoactivos específicos ni de exchanges o plataformas de negociación.

11. MODIFICATIONS

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance. Material changes will be communicated via the newsletter.
