1. Acceptance of Terms

By accessing or using NeverHodl at neverhodl.com ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including visitors, free account holders, Pro/Pro+ subscribers, and API users.

2. Description of Service

NeverHodl is a market cycle intelligence platform that aggregates publicly available on-chain, macroeconomic, and sentiment data into a single educational indicator: the NeverHodl Cycle Intelligence (NHCI) score. The Service provides:

• The NHCI score and 30+ live indicators on neverhodl.com/dashboard
• Cycle history (up to 9 years for Pro subscribers)
• AI-powered market analysis agent (daily message limits by tier)
• Backtesting simulator for historical strategy evaluation
• Community chat channels for market discussion
• Daily Market Briefing (Pro/Pro+ subscribers)
• Protection overlays (Descent Guard + Top Risk)
• Push notifications for phase changes
• API access for personal or professional use (Pro+ and API tiers)
• A Telegram channel (@NeverHodlHQ) with market cycle updates
• Native mobile app (iOS/Android) with all dashboard features

4. MiCA Compliance (EU Markets in Crypto-Assets Regulation)

NeverHodl operates as a data aggregation and educational platform. In accordance with MiCA (Regulation EU 2023/1114):

• We do not provide crypto-asset advice as defined under MiCA Art. 4(1)(52)
• We do not operate as a crypto-asset service provider (CASP) under MiCA
• All historical performance data is presented with the explicit disclaimer that past performance does not predict future results
• Users in EU jurisdictions should seek regulated financial advice before making investment decisions

5. Intellectual Property

• You may not reproduce, copy, or distribute the NHCI methodology or algorithm
• You may not create competing products that substantially replicate the NHCI scoring system
• You may share NHCI scores and readings with proper attribution to NeverHodl and a link to neverhodl.com
• The NeverHodl name, logo, and trademark may not be used without written permission

6. Subscriptions and Payments

NeverHodl offers free and paid subscription tiers (Pro, Pro+). Paid subscriptions are processed by Stripe:

• Subscriptions renew automatically at the end of each billing period
• You may cancel at any time from your profile — access continues until the end of the paid period
• Refund requests are handled on a case-by-case basis within 14 days of charge
• We reserve the right to modify pricing with 30 days notice to existing subscribers
• Free trial periods, if offered, convert to paid subscriptions unless cancelled before expiry

7. Acceptable Use

You agree not to:

• Use the Service to provide financial advice to third parties based on NHCI data without appropriate disclaimers
• Scrape, copy, or systematically extract data from the Service using automated tools (except via authorised API access)
• Attempt to reverse-engineer the NHCI scoring algorithm or methodology
• Share Pro/Pro+ exclusive content (briefings, overlays, full indicator values) in public channels
• Use the community chat for spam, scams, wallet solicitation, or platform defamation
• Create multiple accounts to circumvent tier limits or referral system
• Use the Service in any way that violates applicable laws or regulations
• Impersonate NeverHodl or misrepresent your affiliation with the Service
• Transmit malware, spam, or engage in any activity that disrupts the Service

8. Community Guidelines

The community chat is subject to content moderation. Prohibited content includes:

• External links, wallet addresses, and donation requests
• Buy/sell calls, pump-and-dump promotions, and scam content
• Profanity, hate speech, and discriminatory language
• Sharing of Pro-exclusive content (briefings, analysis)
• Impersonation of NeverHodl staff or other users

Violations may result in temporary mute or permanent ban. Users may report messages for review.

9. Account Termination

• You may delete your account and all associated data at any time from Profile → Account → "Delete account"
• We may suspend or terminate accounts that violate these Terms
• Upon deletion, all personal data is removed except anonymised audit logs (retained for compliance)
• You may export all your data before deletion via Profile → "Download my data"

10. Data Accuracy and Availability

The NHCI score and indicators are calculated from third-party API data sources (Kraken, CoinGecko, CoinCap, CoinPaprika, Alternative.me, and others). NeverHodl:

• Makes reasonable efforts to ensure data accuracy but does not guarantee it
• Is not responsible for errors, delays, or inaccuracies in third-party data sources
• May experience temporary service interruptions due to API limitations or infrastructure maintenance
• Reserves the right to modify, update, or discontinue indicators at any time

8. Limitation of Liability

To the maximum extent permitted by applicable law, NeverHodl and its founders shall not be liable for:

• Any financial losses resulting from decisions made using NHCI data or signals
• Direct, indirect, incidental, special, or consequential damages of any kind
• Loss of profits, data, or business opportunities
• Service interruptions, data inaccuracies, or API failures

Your use of the Service is entirely at your own risk.

13. Communications

• Marketing emails require your explicit opt-in (GDPR compliant)
• You can manage all notification preferences from your profile
• Every marketing email includes a one-click unsubscribe link (RFC 8058)
• Transactional emails (payment confirmations, security alerts) are sent regardless of marketing preferences
• We process your data in accordance with our Privacy Policy

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via a notice on the website. Continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Spain, without prejudice to your rights as a consumer under applicable EU law.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
